Terms of Use
Last updated: 16 October 2026
These Terms of Use govern your use of the cerp.ir website, the CERP cloud service and apps, and the CERP connector for AI assistants (the “Services”), provided by Yasna System Pasargad (“we”, “us”). By using the Services you agree to these terms and to the CERP End User License Agreement. If you use them for an organisation, you confirm you may accept these terms for it.
1. Accounts and subscriptions
Your organisation’s edition, add-ons, capacity, price and service levels are set in its order, pro forma invoice or contract, which takes precedence over these terms where they differ. You are responsible for your users, their access rights and keeping passwords and connector secrets confidential.
2. Your data
Your organisation owns the data it records in CERP. You give us permission to host and process it only to provide and support the Services. You are responsible for the accuracy and lawfulness of the data you record, including data about your own customers and employees.
3. Acceptable use
- Do not use the Services for unlawful activity, or to store or send unlawful content.
- Do not try to access other organisations’ data, bypass security or scopes, or disrupt the Services.
- Do not resell or copy the Services or reverse engineer them except where the law allows.
4. The AI connector
The CERP connector lets an AI assistant, such as ChatGPT, use CERP tools within the scopes your administrator grants. Write scopes allow the assistant to change data, such as prices, items or documents. AI assistants can misunderstand requests or produce incorrect results, so review important answers and changes before relying on them, grant only the scopes you need, and revoke connectors you no longer use. The AI assistant is a third-party service governed by its provider’s terms; we are not responsible for its outputs.
5. Third-party services
The Services can connect to third-party services you choose, such as SMS and messaging services, online stores, payment terminals, the national e-invoicing system and AI assistants. Their availability and terms are set by their providers.
6. Availability and changes
We work to keep the Services available and secure, and we update them over time. Service levels, backup and support commitments are those stated in your contract. We may change or retire features with reasonable notice where they materially affect you.
7. Intellectual property
CERP, its software, design and documentation belong to Yasna System Pasargad. You receive a right to use the Services during your subscription, under these terms.
8. Disclaimer and limitation of liability
Warranty disclaimers, limits of liability, indemnity and high-risk use are set out in the CERP End User License Agreement, which forms part of these terms. In short, the Services are provided “as is”, and to the maximum extent the law allows our liability is excluded or capped as stated there.
9. Suspension and termination
We may suspend access that breaches these terms or threatens the security of the Services. When a subscription ends, we return or delete your organisation’s data as set out in its contract and our Privacy Policy.
10. Governing law
Governing law, binding individual arbitration and the waiver of class actions are set out in section 16 of the CERP End User License Agreement.
